Why The Good Roll combines share and bond certificates

Waarom The Good Roll certificaten van aandelen en obligaties combineert

Pioneering in a capital-intensive industry requires guts, vision, and perseverance. With The Good Roll, we have been building a fundamentally more sustainable paper chain since day one. We purchase bamboo as 'weed' directly from Ghanaian farmers and process it into high-quality bamboo pulp at our facility in Akosombo. This pulp finds its way into the international paper trade and forms the basis for our own toilet and tissue paper.

The chain is running, there is more than enough bamboo, and demand is enormous. Thanks to the support of over 6,000 bondholders, we have proven that our business model not only works but also makes a huge impact. Now the moment has arrived to take the next big step: the construction of a new bamboo pulp production line.

From pioneer phase to operational reality Building an industrial chain in West Africa brought challenges and growing pains. But the operational foundation is now in place. In Ghana, production runs on European quality standards, thanks to a top team and a strong local network of small-scale farmers.

We have also turned the corner financially and organizationally. After a sharp restructuring at the end of 2025, we shifted our focus to tight margins and efficiency. The result: our Dutch branch (Goodroll B.V.) has been structurally operationally EBITDA-positive since March 2026. With the rollout of our new ERP system (Odoo) and the strengthening of our finance team.

To meet the enormously increasing demand, we are building the 2nd bamboo pulp production line in Ghana for our client Delta Paper Mill. The entire production of this line for the next 5 years has already been sold. Moreover, Delta Paper Mill wants us to build 4 additional bamboo pulp production lines for them in the future.

To realize this expansion, major banks are coming on board, freeing up $10 million in bank financing. The banks' condition is clear: we must contribute $2.5 million in equity. In addition to building the new production line, we are using this capital to pay off existing loans and strengthen our balance sheet.

Why bonds and share certificates? Up until now, we have built mainly on bonds via NPEX. A bond is a loan with a fixed interest rate of 10% per year and a term of 5 years. This was perfect for the start-up phase, but it remains borrowed capital (debt) on the balance sheet.

To push through on a global scale and secure bank financing, equity is necessary. That is why we are starting the issuance of share certificates via Republic.

  • Bonds (via NPEX): You lend us money at a 10% fixed interest rate per year.

  • Share certificates (via Republic): You strengthen our equity, become a direct co-owner of The Good Roll (without voting rights), and grow along with the value appreciation of our company.

Together with our community, we continue to build a transparent, more sustainable, and successful future. Join us. Let’s Change the Paper Chain!
